$100 per month includes:
- A 50% discount on our base fee is offered for the first 10 arbitration cases with the PAC. A 25% discount will be applied to arbitration cases after each renewal (calculated before any adjustments).
- Priority scheduling is provided for arbitration and mediation hearings.
- Training and educational resources, including workshops and webinars, are available for clients and their legal teams. A 50% discount is applicable to the first two workshops or webinars.
- A 50% discount on our consulting services is offered to clients who wish to develop internal dispute resolution programs or policies.
- Networking opportunities with other arbitration and mediation professionals and organizations are provided.
Terms and Conditions – Prospera Arbitration Center Subscription Package
Please read these Terms and Conditions (“Agreement”) carefully before subscribing to our arbitration center’s subscription package (“Subscription Package”). This Agreement sets forth the terms and conditions governing your use of the Subscription Package and the rights and obligations between you (“Subscriber”) and [Prospera Arbitration Center] (“PAC”).
Subscription Package Benefits:
a. 50% Discount on First 10 Arbitration Cases: Subscriber is entitled to a 50% discount on the Prospera Arbitration Center’s base fees, calculated before any adjustments, for the first 10 arbitration cases handled by the (“PAC”). A 25% discount will be applied to arbitration cases after each renewal.
b. Priority Scheduling: Subscriber will receive priority scheduling for arbitration and mediation hearings, subject to availability and the Arbitration Center’s scheduling policies.
c. Training and Educational Resources: Subscriber and their legal teams will have access to training and educational resources, including seminars and webinars, provided by the Arbitration Center. Subscribers are eligible for a 50% discount on their first two seminar or webinar registrations.
d. Discounted Consulting Services: Subscriber may avail discounted consulting services offered by the Arbitration Center for developing internal dispute resolution programs or policies.
e. Networking Opportunities: Subscriber will have access to networking opportunities with other arbitration and mediation professionals and organizations facilitated by the Arbitration Center.
Subscription Term and Renewal:
a. The Subscription Package is valid from the date of subscription (“Subscription Term”).
b. The Subscription Package will automatically be renewed yearly unless either party provides written notice of non-renewal at least (30 days) before the end of the current Subscription Term.
Fees and Payment:
a. Subscriber shall pay the applicable fee of $100 USD every month for the Subscription Package as communicated by the Prospera Arbitration Center.
b. All fees are non-refundable, except as expressly provided in this Agreement or required by applicable law.
Limitations and Exclusions:
a. The benefits provided under the Subscription Package are subject to availability and the terms and conditions of the Arbitration Center.
b. Limitation on Covered Cases: The scope of ‘covered cases’ under these terms and conditions is limited to those filed based on operative facts arising in or after the first month of the subscription. Cases arising from events or circumstances that occurred prior to the commencement of the subscription shall not be eligible for coverage under these terms.
c. The Prospera Arbitration Center reserves the right to modify, suspend, or terminate any or all benefits offered under the Subscription Package at its discretion, with or without notice, except for benefits already paid for by the Subscriber.
Intellectual Property:
a. All training materials, resources, and content provided as part of the Subscription Package are the intellectual property of the Arbitration Center or its licensors.
b. Subscriber agrees not to reproduce, distribute, modify, or create derivative works based on the intellectual property of the Arbitration Center without prior written consent.
Confidentiality:
a. Subscriber agrees to maintain the confidentiality of any confidential information shared by the Arbitration Center or other subscribers during networking events or as part of consulting services.
b. Subscriber shall not disclose or use such confidential information for any purpose other than in connection with the Subscription Package.
Limitation of Liability:
a. The Arbitration Center shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Subscription Package or its use.
b. The Arbitration Center’s liability, if any, under this Agreement shall be limited to the total fees paid by the Subscriber for the Subscription Package during the twelve (12) months preceding the event giving rise to the liability.
Governing Law and Jurisdiction:
a. Regardless of the place where this Agreement may be executed by any of the parties hereto, the parties expressly agree that this Agreement shall be construed and interpreted in accordance with the Common Law Code of Roatán of Próspera ZEDE, Republic of Honduras, and the applicable Rules of Próspera ZEDE, without regard to the doctrine of conflict of laws, as published on https://pzgps.hn/ from time to time.
b. Any controversy or claim arising out of or related to these Terms and Conditions, or a breach thereof, shall be resolved by arbitration administered by the International Centre for Dispute Resolution in accordance with its International Arbitration Rules. Once the demand for arbitration is initiated, the parties agree to attempt to settle any controversy or claim arising out of or relating to this contract or a breach thereof by mediation administered by the International Centre for Dispute Resolution under its International Mediation Rules. Mediation will proceed concurrently with arbitration and shall not be a condition precedent to any stage of the arbitration process.
Termination:
a. Either party may terminate this Agreement with written notice if the other party breaches any material provision of this Agreement and fails to remedy such breach within 10 days.
b. Upon termination, Subscriber’s access to the benefits provided under the Subscription Package will cease, and no refunds or credits will be provided for any unused portion of the Subscription Term.
Entire Agreement:
This Agreement constitutes the entire agreement between Subscriber and the Arbitration Center regarding the Subscription Package and supersedes all prior discussions, understandings, or agreements, whether written or oral.
Severability:
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Amendments:
The Prospera Arbitration Center reserves the right to amend or modify this Agreement at any time. Any amendments or modifications shall be effective upon their posting on the Arbitration Center’s website or through written communication to Subscriber. Continued use of the Subscription Package after such amendments or modifications constitutes Subscriber’s acceptance of the revised terms.
By subscribing to the Arbitration Center’s Subscription Package, the Subscriber acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
